Description of Services WAZync is a multi-tenant Software-as-a-Service (SaaS) platform that enables businesses to: * Connect to and manage WhatsApp Business Accounts (WABA) via Meta's WhatsApp Cloud API * Send and receive WhatsApp messages (text, media, templates, interactive messages) * Manage WhatsApp message templates and campaigns * Integrate with e-commerce platforms (Shopify, WooCommerce) for order notifications * Automate customer conversations using chatbot flows * Process payments via Razorpay and PhonePe within WhatsApp flows * Manage contacts, message logs, and analytics WAZync acts as a **WhatsApp Cloud API Platform Provider** and is a registered **Meta Tech Partner**. Our Services are subject to, and you must comply with, Meta's Platform Terms and the WhatsApp Business Policy. ## 3. Eligibility * You must be at least **18 years of age**. * You must be a legally registered business entity or individual authorised to conduct business in India or your jurisdiction. * You must have valid authority to connect and use a WhatsApp Business Account. * You must not be on any government restricted-party or sanctions list. ## 4. Account Registration & Security * **4.1** You agree to provide accurate, current, and complete information during registration. * **4.2** You are responsible for maintaining the confidentiality of your credentials. You must not share your account with others. * **4.3** You must notify us immediately at support@wazync.com upon becoming aware of any unauthorised use of your account. * **4.4** You are solely responsible for all activities that occur under your account. * **4.5** We reserve the right to suspend or terminate accounts that exhibit suspicious activity. ## 5. WhatsApp Cloud API Usage — Mandatory Compliance By using WAZync's WhatsApp features, you agree to the following obligations, which are required by Meta and Indian law: 1. **Opt-In Consent:** You must obtain explicit, documented opt-in consent from every end-customer before sending them any WhatsApp message. Bulk messaging without prior consent is strictly prohibited. 2. **Template Messages:** Marketing and utility template messages must be pre-approved by Meta. You are responsible for ensuring your templates comply with Meta's content policies. 3. **Prohibited Content:** You must not send content that is illegal, defamatory, harmful, threatening, abusive, harassing, violent, pornographic, or that violates any applicable law, including the Information Technology Act, 2000. 4. **No Spam:** You must not use WAZync for mass unsolicited messaging (spam), phishing, or any form of deceptive communication. 5. **Rate Limits:** You must respect Meta's messaging rate limits and quality ratings. Repeated policy violations that degrade your phone number quality rating are your responsibility. 6. **Data Responsibility:** You are the Data Controller for all end-customer data processed via your WABA. You are responsible for lawful data collection, consent management, and compliance with the DPDP Act, 2023. 7. **Financial Services:** If you use WAZync for financial services messaging, you must comply with applicable RBI and SEBI regulations and WhatsApp's financial services policies. ## 6. Subscription & Billing * **6.1** WAZync is offered on a subscription basis. Pricing is published on our website and may change with 30 days' notice. * **6.2** Subscriptions are billed in advance for the chosen billing period (monthly or annually). * **6.3** You authorise us (via Razorpay or PhonePe) to charge your payment method automatically on each renewal date. * **6.4** All prices are in Indian Rupees (INR) and are inclusive of applicable GST unless stated otherwise. * **6.5** Failure to pay may result in suspension of Services after a 7-day grace period and termination after 30 days. * **6.6** Refer to our Payment & Refund Policy for cancellation and refund terms. ## 7. Prohibited Uses You must not use WAZync to: * Violate any applicable law, including the Information Technology Act, 2000, the DPDP Act, 2023, PMLA, or any RBI regulation * Send spam, unsolicited messages, or messages for which you do not have valid opt-in consent * Infringe the intellectual property rights of any third party * Transmit viruses, malware, or other harmful code * Reverse-engineer, decompile, or disassemble any part of the platform * Use the API to build a competing product without our written consent * Engage in any form of money laundering, fraud, or financial crime * Impersonate any person, business, or organisation * Interfere with or disrupt the integrity or performance of the Services ## 8. Intellectual Property All intellectual property in the WAZync platform, software, documentation, logos, and trademarks are owned by or licensed to WAZync. These Terms do not grant you any right, title, or interest in our intellectual property. You may not copy, modify, distribute, or create derivative works without our prior written consent. You retain ownership of all data you upload to WAZync ("Your Data"). You grant us a limited, non-exclusive licence to process Your Data solely to provide the Services. ## 9. Privacy & Data Protection Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms. You acknowledge that: * WAZync acts as a Data Processor for your end-customer data. * You are the Data Controller and are responsible for lawful processing under the DPDP Act, 2023. * You must enter into a Data Processing Agreement with us if required by applicable law. ## 10. Service Availability & SLA We target 99.5% monthly uptime for the platform. We are not responsible for downtime caused by Meta's WhatsApp Cloud API, payment gateways, third-party integrations, or force majeure events. Scheduled maintenance will be communicated at least 24 hours in advance. ## 11. Disclaimer of Warranties THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE INDIAN LAW. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ## 12. Limitation of Liability To the fullest extent permitted by applicable law, WAZync's total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the **total subscription fees paid by you in the 3 months preceding the event giving rise to the claim**. In no event shall WAZync be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages. This limitation of liability does not apply to our liability for fraud, gross negligence, wilful misconduct, or death/personal injury caused by our negligence. ## 13. Indemnification You agree to indemnify, defend, and hold harmless WAZync, its directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: * Your violation of these Terms * Your violation of Meta's Platform Terms or WhatsApp Business Policy * Your violation of any applicable Indian or international law * Your content or Your Data uploaded to the platform * Claims by your end-customers arising from your WhatsApp messaging activities ## 14. Termination * **14.1 By You:** You may terminate your account at any time through the platform dashboard. Refunds are governed by our Refund Policy. * **14.2 By Us:** We may suspend or terminate your access immediately and without notice if: * You breach these Terms or Meta's policies * We are required to do so by applicable law or a competent authority * Your account poses a security or legal risk to WAZync or others * Non-payment after the grace period * **14.3** Upon termination, your right to use the Services ceases immediately. We will retain your data for the periods specified in our Privacy Policy. ## 15. Governing Law & Jurisdiction These Terms are governed by the laws of the **Republic of India**. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in **Vadodara, Gujarat, India**. ## 16. Dispute Resolution The parties shall first attempt to resolve any dispute amicably through good-faith negotiations for a period of 30 days. If unresolved, either party may seek relief from a competent court in Vadodara, Gujarat. Consumer disputes may also be referred to the appropriate consumer forum under the Consumer Protection Act, 2019. ## 17. Changes to These Terms We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice on the platform at least **7 days** before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. ## 18. Miscellaneous * **Entire Agreement:** These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and WAZync. * **Severability:** If any provision is found to be unenforceable, the remaining provisions remain in full force. * **Waiver:** Failure to enforce any right does not constitute a waiver of that right. * **Assignment:** You may not assign your rights under these Terms without our prior written consent. * **Force Majeure:** Neither party is liable for failure to perform due to causes beyond its reasonable control (natural disasters, war, government action, internet outages, platform downtime at Meta, etc.). ## 19.
